Role: M&A Attorney (Remote) Location: Remote (Work from Anywhere) Job Type: Contract Payout: $140 - $400/hour Role Overview: We are hiring for one of our clients, seeking a Mergers & Acquisitions (M&A) Attorney (BigLaw Firms) to work on a contract basis. The role involves advising on high-stakes transactions, including mergers, acquisitions, and corporate restructuring. Candidates must have prior experience in BigLaw environments handling complex deal structures and regulatory compliance. Key Responsibilities: • Lead due diligence processes for M&A transactions, identifying legal and financial risks. • Draft, review, and negotiate transaction agreements, including purchase agreements and ancillary documents. • Advise on corporate governance matters and compliance with securities regulations. • Collaborate with cross-functional teams, including tax, finance, and executive leadership. • Provide strategic legal counsel to clients on M&A strategy and deal execution. Required Skills & Qualifications: • Admission to practice law in at least one U.S. jurisdiction is required. • Minimum 5 years of M&A experience in a top-tier law firm or equivalent corporate legal department. • Strong proficiency in drafting and negotiating complex transactional documents. • Deep understanding of federal and state securities laws, tax implications, and regulatory frameworks. • Experience managing end-to-end M&A transactions from term sheets to closing.
