Position Overview
The firm is seeking a highly motivated Commercial Real Estate Lawyer with 3 to 7 years of post-call experience to join their growing team. This role focuses heavily on sophisticated commercial financing and lending transactions, representing both borrowers and lenders (including institutional lenders, private lenders, and corporate borrowers). The ideal candidate will be a strategic advocate capable of navigating multi-layered corporate structures while stepping into a pivotal leadership role to oversee transaction teams, law clerks, and administrative staff.
Key Responsibilities
Commercial Lending & Transaction Management: Independently manage complex commercial lending and real estate transactions from inception through funding, registration, and post-closing. Secured Financing & Documentation: Review, negotiate, and prepare comprehensive loan documentation, security packages, GSAs, share pledges, and cross-collateralization arrangements. Due Diligence: Direct and conduct thorough due diligence, including complex title reviews, corporate searches, PPSA searches, and off-title investigations. Team Leadership & Supervision: Lead, mentor, and supervise a dedicated team of law clerks, legal assistants, and administrative staff assigned to commercial files, ensuring accurate and timely transactional deliverables. Client & Stakeholder Advisory: Serve as the primary contact on active transactions, advising clients on financing structures and risk allocation while liaising with financial institutions, brokers, and opposing counsel. Compliance & Risk Management: Ensure strict compliance with Law Society of Ontario (LSO) requirements, firm policies, trust accounting procedures, and risk management protocols.

Transactional Leadership: Proven ability to coordinate workflow across legal support teams, delegate effectively, and manage deadlines on multi-layered corporate files. Exceptional Technical Skills: Advanced drafting, negotiation, and risk-assessment capabilities specifically within secured lending and commercial real estate. Clear Communication: Ability to articulate complex financing structures and legal requirements clearly and concisely to clients, lenders, and internal staff. Teamwork & Mentorship: Fosters a collaborative and accountable team environment, providing guidance to junior lawyers, clerks, and support personnel.
Qualifications
Minimum of 3–7 years of relevant post-call experience in commercial lending and commercial real estate Member in good standing with the Law Society of Ontario (LSO) Strong experience representing private lenders, chartered banks, credit unions, MICs, corporate borrowers, or developers Deep proficiency with Teraview, PPSA registrations, corporate due diligence, and complex corporate ownership structures Exposure to specialized financing (such as construction lending, mezzanine, bridge, syndicated, or land development financing) is considered a strong asset
Compensation
Salary range: $125,000 - 160,000 (commensurate with experience) Comprehensive Benefits Plan Performance-based bonus structure
