Position Overview The Legal Counsel supports Kruger's business operations by drafting, reviewing, and negotiating a broad range of commercial agreements and providing practical legal advice to internal business teams. The incumbent also contributes to the Company's compliance activities by supporting the implementation and maintenance of compliance programs, policies, and processes, and by assisting in the identification and management of legal and regulatory risks. Working closely with business units across the organization, the Legal Counsel helps promote compliance with legal requirements and sound business practices. Responsibilities Legal Support for Commercial and Corporate Transactions Draft, review, and negotiate commercial agreements, including procurement, sales, service, and information technology contracts, as well as confidentiality agreements. Provide practical legal advice to business teams in support of day-to-day operations. Identify key contractual risks, recommend practical solutions aligned with operational needs, and assist in monitoring and managing contractual obligations. Support mergers, acquisitions, corporate reorganizations, and financing transactions by conducting legal analysis and assisting with the review and negotiation of relevant agreements, in collaboration with the finance teams. Compliance and Risk Management Assist in maintaining and enhancing the Company's corporate compliance program. Support the identification, assessment, and monitoring of legal and regulatory risks affecting the business. Participate in maintaining compliance-related tools, registers and systems. Assist in the development and updating of internal procedures and controls. Operational Support Partner with internal teams, including Procurement, Sales, Operations, and Information Technology. Respond to routine legal inquiries relating to contracts, internal policies, and business operations. Assist in resolving legal and compliance issues raised by business units. Collaborate with cross-functional teams to promote a consistent approach to compliance across the organization. Policies, Training, and Awareness Assist in drafting and updating internal compliance policies and procedures. Support compliance and business ethics awareness initiatives. Provide guidance to employees regarding the application of compliance policies and processes. Assist in the development of internal training programs. Regulatory Monitoring and Legal Developments Monitor legal and regulatory developments relevant to the Company's activities and industries. Analyze the potential impact of legislative and regulatory changes on the business. Assist in the preparation of internal communications regarding significant legal and regulatory developments. Qualifications Member in good standing of the Barreau du Québec. Experiences Three to five years of relevant experience in commercial law, compliance, corporate governance, or regulatory law. Experience in drafting, reviewing, and negotiating commercial agreements. Experience in an in-house legal department or private practice, within a commercial or regulated environment, is considered an asset. Skills And Abilities Strong legal judgment and practical business acumen. LANGUAGES Excellent written and verbal communication skills in both French and English. Knowledge of English is required for this specific position as Kruger deals with partners across North America and the successful candidate will be required to communicate frequently with them. Kruger has taken all reasonable steps to avoid imposing English language requirements, including assessing the actual language needs associated with the duties to be performed, ensuring that the language skills already required of other employees were insufficient for the performance of those duties, and limiting as much as possible the number of positions with duties requiring English language skills.

Requirements

Must be a member in good standing of the Barreau du Québec and have three to five years of relevant experience in commercial law, compliance, corporate governance, or regulatory law. Requires experience negotiating commercial agreements, strong legal judgment and business acumen, and excellent written and verbal communication in French and English.
