Job summary

Our client is an established and growing investment company headquartered in Vancouver that is expanding its capital markets platform through the launch of a new publicly offered investment fund after several years of highly successful results. As part of this strategic growth initiative, the organization is seeking its first dedicated Legal Counsel to play a key role in the establishment, launch, and ongoing legal oversight of the fund. As well as to assist with the legal compliance requirements of its other investments. Reporting to the Director of Legal and working closely with the Chief Financial Officer and senior leadership, the successful candidate will be responsible for building the legal and regulatory framework that will support the fund's long-term success. This is a rare opportunity to join an entrepreneurial organization at an exciting stage of growth and play an integral role in developing a new investment platform from the ground up. Responsibilities: Lead the legal aspects of establishing and launching a new publicly offered investment fund. Advise on securities law, investment fund regulation, corporate governance, and ongoing regulatory compliance. Assist with the legal structuring of the fund, including entity formation, governance documentation, policies, procedures, and operational frameworks. Draft, review, and negotiate fund documentation, subscription agreements, commercial contracts, and service provider agreements. Develop and maintain internal compliance policies and procedures to ensure ongoing compliance with applicable securities legislation and regulatory requirements. Partner closely with executive leadership on strategic legal, regulatory, and business matters. Liaise with external counsel, securities regulators, auditors, custodians, administrators, and other third-party service providers throughout the launch process and ongoing operations. Monitor legislative and regulatory developments affecting investment funds and provide practical legal advice on evolving compliance obligations. Support additional corporate, commercial, governance, and strategic initiatives as the business continues to grow. Other legal work/responsibilities as required by the organization May be required to take additional courses or obtain licenses to act in certain compliance capacities in the investment fund. Qualifications: The Successful Candidate Must: Be a member in good standing with the Law Society of British Columbia or another Canadian Law Society. Have a minimum of 7 years of post-call legal experience. Have strong experience in securities law, investment funds, capital markets, or financial asset management. Have demonstrated experience establishing, launching, or advising investment funds, mutual funds, ETFs, or similar regulated investment vehicles. Have thorough understanding of Canadian securities legislation, National Instruments, and investment fund regulation. Have previous in-house legal experience with an investment manager, asset manager, financial institution, or similar organization is strongly preferred. Practical, business-minded approach with excellent drafting, negotiation, and communication skills. Ability to work independently while partnering effectively with senior leadership in a growing organization. Compensation Base salary of $150 000 – 195, 000 per year plus bonus, pension, and attractive benefits.
