This is an exciting opportunity at a public company to work as a Legal Counsel and report to the Director, Legal and be involved in commercial and transactional matters, including diverse commercial contracts and technology agreements. This Legal Counsel will work with the business units, procurement division, and technology team to draft, review and negotiate a variety of sophisticated and strategic commercial agreements. They will play an integral role on a variety of complex and critical projects and commercial transactions. Responsibilities: Draft, review and negotiate various sophisticated commercial and technology agreements, including general commercial contracts, procurement, acquisitions, service agreements, SaaS, PaaS, cloud, consulting, licensing, software development, compliance, AI, etc.; Advise re: multi-faceted cross border strategic projects and evaluate legal risks; Provide guidance re: m & a transactions and reorganizations; Advise re: corporate policies and ensure contract templates and playbooks are optimal and efficient; and Maintain up to date knowledge of applicable legal developments and trends. Qualifications: Called to the Bar of Ontario and a member in good standing of the Law Society of Ontario; A minimum of 3 years of pertinent legal experience, acquired in a law firm and/or In House setting; Strong experience drafting and negotiating a variety of commercial and corporate agreements and transactions, including technology matters; Solid negotiation, communication and problem-solving skills; and Excellent team player and interpersonal abilities. The compensation range is approximately $150,000-$165,000, depending on experience and qualifications. Total compensation may include bonuses, benefits and other incentives.
