The organization is seeking a Senior Legal Counsel to play a strategic role in supporting complex corporate transactions, partnering with senior business leaders and external advisors on mergers and acquisitions, investments, joint ventures, and other key growth initiatives. This position offers significant exposure to high-impact, cross-border matters and executive-level decision-making. RESPONSIBILITIES Lead and support complex M&A transactions, including acquisitions, divestitures, joint ventures, strategic investments, and partnerships. Advise on transaction structures in collaboration with cross-functional stakeholders and external advisors. Draft, review, and negotiate a wide range of transaction agreements and corporate legal documents. Manage the full transaction lifecycle, including due diligence, signing, closing, and post-closing activities. Identify, assess, and mitigate legal risks while providing practical, business-oriented guidance. Coordinate and oversee legal due diligence processes, including data room reviews and executive reporting. Support corporate governance requirements, regulatory approvals, and compliance obligations. Act as a legal project lead, aligning stakeholders, timelines, and workstreams to ensure efficient deal execution. Partner closely with business leaders to translate strategic objectives into effective contractual solutions. Provide legal support for post-acquisition integration initiatives, including contract transitions and corporate governance updates. QUALIFICATIONS Member in good standing of the Ontario or Québec Bar; a business degree is considered an asset. 9–12 years of legal experience with significant exposure to M&A and corporate transactions, gained in a leading law firm and/or a sophisticated in-house environment. Strong leadership, autonomy, and strategic decision-making abilities, with demonstrated business and legal acumen. Proven experience managing complex cross-border and multi-jurisdictional transactions. Familiarity with regulated industries and related regulatory approval processes. Experience supporting carve-outs, post-acquisition integrations, and transitional service arrangements (TSAs). Exposure to competition/antitrust, privacy, intellectual property, and employment matters in an M&A context. Ability to thrive in a technical and fast-paced business environment. Strong project management skills with the ability to handle multiple transactions simultaneously under tight deadlines. Excellent negotiation, drafting, communication, and stakeholder management skills, including the ability to influence decision-makers and oversee external counsel. Strong commercial judgment with a practical, solution-oriented approach to legal advice. Highly organized with exceptional attention to detail and prioritization skills. Fully bilingual in French and English, both written and spoken. Proficient with Microsoft Office applications, including Word, Excel, and PowerPoint. Based in Montréal and available to travel as required.
