Remote Corporate/Commercial & Private M&A Associate (4+Years) Location: Remote (Ontario) Position Type: Full-Time, Permanent Compensation: Commensurate with Experience Our client, a well-established and growing business law firm, is seeking a Corporate/Commercial & Private M&A Associate to join its team. This is an excellent opportunity for a lawyer who enjoys advising entrepreneurs, private companies, and investors on a broad range of business transactions. The successful candidate will have the opportunity to work on sophisticated corporate, commercial, and private M&A matters while enjoying the flexibility of a fully remote practice within Ontario. Key Responsibilities Advise clients on a broad range of corporate and commercial law matters. Draft, review, and negotiate commercial agreements, shareholder agreements, and other business-related contracts. Assist with mergers and acquisitions, including share and asset purchase transactions. Conduct legal due diligence and assist with transaction structuring. Prepare and negotiate transaction documents and closing deliverables. Advise clients on corporate governance, reorganizations, incorporations, amalgamations, and other corporate transactions. Manage files independently and provide practical, business-focused legal advice. Build and maintain strong client relationships while delivering exceptional client service. Qualifications Must be a member in good standing with the Law Society of Ontario. 4 plus years of experience practicing Corporate/Commercial Law and Private M&A. Demonstrated experience handling business transactions, including share and asset purchase agreements. Strong drafting, negotiation, analytical, and problem-solving skills. Excellent organizational and time-management abilities. Ability to work independently in a remote environment while managing multiple files and deadlines. Commitment to providing high-quality legal services and client-focused solutions. Compensation Compensation will be competitive and based on the successful candidate's level of experience, qualifications, and overall fit for the role.
