PARALEGAL/LAW CLERK (Global Funds Legal Operations - NY) OUR CLIENT An alternative asset management company that manages capital for investors and invests across sectors including real estate, infrastructure, and private equity. RESPONSIBILITIES Manage the corporate entity database, including initial entries and the bi-annual ownership attestation process, and assist in all other entity maintenance protocols Assist with U.S. and other jurisdictional entity formations and state qualifications, if required, and the dissolution of entities Prepare tax forms (W-8s/W-9s) Assist with bank account openings and onboarding entities with the fund administrator and other service providers Assist with filings required under U.S. securities laws Advise registered agent of any entity formations, name changes, conversions and dissolutions Draft initial operating agreements, resolutions and internal loan documents Respond to internal and external requests for information for KYC and other purposes Assist in preparing and maintaining structure charts Maintain D&O registers Assist in annual processes, ad hoc projects and corporate governance matters generally QUALIFICATIONS Minimum of 2-3+ years of law clerk experience in corporate and fund related work Experience with Diligent corporate database and/or iManage document management system is considered an asset
