Our Client Our client is a leading Canadian organization in the healthcare sector seeking a Legal Counsel to join its legal team in the Greater Toronto Area. This is an excellent opportunity for a 2-4 year corporate/commercial lawyer looking to take on a hands-on in-house role with meaningful exposure to both M&A and sophisticated commercial matters. The role offers a hybrid working model with four days in-office and one day remote. Responsibilities Act as legal counsel on private M&A transactions. Draft, review and negotiate a broad range of commercial, technology and healthcare-related agreements, including SaaS, data sharing, supply and distribution, and services agreements. Support the business with its day-to-day commercial contracting needs. Advise on regulatory matters, strategic initiatives, projects and transactions. Liaise with external legal counsel as required. Work collaboratively with the broader legal and business teams to improve templates, processes and efficiencies. Requirements 2–4 years of relevant post-call experience gained at a leading law firm and/or in-house legal department. Member in good standing of the Law Society of Ontario. Strong experience in M&A and commercial contracting. Ability to draft and negotiate complex commercial and technology-related agreements. Experience in the healthcare or regulated health professions sector is an asset. Experience with AI and privacy matters is an asset. A combination of private practice and in-house experience would be an asset, but is not required. Strong business acumen and the ability to provide practical, commercially focused legal advice. Proactive, self-motivated and comfortable managing multiple matters with limited supervision. French language skills are an asset. REF# LI1750
