KMB Law is seeking an experienced Corporate Law Clerk with a minimum of 5 years of law firm experience to join our team. Position Overview Location: Primary office in Mississauga, with potential to transition to our Burlington office. Hours: Monday to Friday, 9:00 a.m. – 5:00 p.m. (Occasional flexibility outside of regular business hours may be required to meet client and business demands). Role Summary: The Corporate Law Clerk will perform a variety of substantive, complex, and routine corporate legal duties, working independently and in coordination with lawyers across assigned matters. Key Responsibilities · Corporate Filings & Statutory Compliance o Prepare and file articles and corporate documentation for routine and complex transactions (incorporations, amendments, continuances, amalgamations, and dissolutions) under the OBCA, CBCA, ONCA, CNCA, and related legislation. o Process provincial filings via Dye & Durham and federal filings directly through Corporations Canada. o Maintain corporate records by drafting and filing annual returns, extra-provincial/territorial registrations, amendments, and renewals (Corporations Information Act). o Manage business name, general partnership, and limited partnership registrations and renewals. · Transactional & Tax Support o Conduct complex corporate record reviews and due diligence for transactions; draft recommended rectification materials. o Draft documentation for mergers, acquisitions, credit facilities/financings, share/asset sales, and tax reorganizations. o Prepare comprehensive corporate structure charts, closing agendas, and client reporting letters. o Maintain routine minute books, drafting resolutions for dividends, redemptions, and changes to directors, officers, or registered offices. · Client & Legal Advisory Support o Consult directly with lawyers and clients to identify required corporate documentation, search parameters, and filing protocols for routine and transactional matters. · Mentorship & Team Leadership o Mentor, train, and guide junior and intermediate corporate clerks within the Corporate Services team. o Support the professional development of articling students, summer students, and associates by answering technical inquiries and sharing corporate procedures. o Perform other related duties and special projects as assigned. Qualifications & Requirements Experience & Credentials: Minimum of 5 years of relevant corporate law clerk experience in a law firm environment. Successful completion of the Institute of Law Clerks of Ontario (ILCO) Certification. Member in good standing with the Institute of Law Clerks of Ontario (ILCO). Technical & Legal Knowledge: In-depth knowledge and practical understanding of relevant federal and provincial corporate statutes. Experience with Appara corporate management software is strongly considered an asset. Key Competencies: Professionalism & Communication: Excellent oral and written communication skills; confident interacting with stakeholders at all corporate levels. Efficiency & Organization: Superior time management, administrative, and organizational capabilities with strong attention to detail. Self-Direction & Collaboration: Hardworking and self-motivated with the ability to operate independently with minimal supervision while maintaining a strong team-player mindset. Adaptability: Flexible to manage shifting daily demands, eager to take on added responsibilities, and available to work outside regular business hours when necessary. The salary range for this position is $75,000-$80,000. KMB Law does not use AI to screen or select candidates.
