About The Opportunity Our client is a large law firm located in downtown Ottawa. They are looking for an experienced Corporate Law Clerk to join their team on a full-time, permanent basis. Duties include but are not limited to: Document preparation in connection with financings and acquisitions, and other general corporate matters including incorporations, amendments, continuances, amalgamations, dissolutions and other reorganizations Maintaining and updating corporate minute books Conducting minute book reviews and providing summaries relating to same Maintaining and updating lists of active and inactive companies Assisting with conducting corporate due diligence and extra-provincial, business name, partnership and other registrations Performing corporate and PPSA searches and filings About You The successful candidate will have the following: 2 to 5+ years of related experience An understanding of, and familiarity with, corporate statutes (Business Corporations Act (Ontario), Canada Business Corporations Act, not-for-profit, non-share capital corporate statutes (Federal and Ontario)) and other applicable policies and procedures Excellent team, client and communication skills Solid writing skills (including attention to detail) when drafting documents, reports and correspondence Strong organizational skills and an ability to effectively multi-task, manage conflicting timelines and work under pressure An ability to take initiative and work independently when appropriate Bilingualism and knowledge of EnAct would be considered assets, but are not required About The Job Salary will depend on experience and skillset, but is likely to fall within the $70,000 to $110,000/year range.
