Senior Lawyer – Mining & Capital Markets | Toronto Toronto, Ontario | Hybrid | Full- time Compensation: CAD $120,000–$144,000 annually, depending on qualifications and experience Languages: English & Spanish – full professional bilingual fluency We are conducting an Executive Search on behalf of a leading international mining company with corporate headquarters in Colombia and operations and exploration activities across Latin America. The company is publicly listed on the Toronto Stock Exchange (TSX) and other international markets. We are seeking a Senior Lawyer – Mining & Capital Markets to support the company’s Canadian legal function and advise on corporate, securities, mining, regulatory and cross-border matters. Key Responsibilities Advise on corporate, securities, governance and regulatory matters for a TSX-listed mining company. Draft, review and negotiate complex mining and international commercial agreements. Support Canadian public-company disclosure and securities compliance. Advise on NI 43-101, MI 61-101 and TSX requirements. Support cross-border M&A, acquisitions, dispositions and joint ventures. Coordinate with Canadian regulators, external counsel and multidisciplinary teams. Provide practical legal advice to senior leadership across Canada and Latin America. Required Qualifications LL.B., J.D. or equivalent law degree. Licensed and in good standing to practise law in Ontario, or otherwise eligible to practise in Ontario. 10+ years of professional legal experience in corporate, securities and/or mining law. Strong experience with Canadian securities law, public-company disclosure and corporate governance. Experience advising TSX-listed companies strongly preferred. Significant experience with cross-border transactions and complex commercial agreements. Full professional fluency in English and Spanish is required. Experience with NI 43-101, MI 61-101, SEDAR+ and TSX requirements is highly valued.
