Role Description The Corporate Clerk is a full-time, on-site role based in Ottawa, ON. This role supports lawyers in corporate and tax planning matters by preparing and organizing corporate records, maintaining minute books, and drafting routine corporate documents and resolutions. Day-to-day tasks include filing and tracking corporate changes, assisting with incorporations, reorganizations, and corporate maintenance, and coordinating documentation for transactions such as share transfers and business purchases or sales. The Corporate Clerk will communicate with clients and professional advisors to gather information, manage documentation timelines, and ensure accurate, compliant records. The role also involves maintaining filing systems, supporting estate and trust-related documentation, and contributing to process improvements within the firm’s corporate practice. Qualifications Minimum of 5 years experience. Corporate law and governance skills, including experience with minute books, corporate filings, and maintaining corporate records. Document preparation skills, including drafting resolutions, agreements, and transaction-related documentation with strong attention to detail. Organizational and administrative skills, including file management, deadline tracking, and efficient handling of multiple matters at once. Client service and communication skills, including clear written and verbal communication and professional interaction with clients and advisors. Proficiency with office software and legal practice tools, such as word processing, spreadsheets, document management systems, and electronic filing platforms. Experience with Appara and/or Leap considered an asset. Post-secondary education in law clerk, paralegal studies, or a related legal or business program, or equivalent practical experience. Ability to work on-site in Ottawa, ON, demonstrating reliability, discretion, and a strong commitment to confidentiality and ethical standards.
