Solomon Law - Corporate Law Clerk We are currently seeking a highly organized and detail-oriented Corporate Law Clerk (remote, full time) to join our growing practice. The successful candidate will manage a diverse range of corporate law matters, including assisting with routine filings, complex transactions, reorganizations, and day-to-day corporate governance. The ideal candidate is a proactive problem-solver who takes ownership of their work and thrives in a fast-paced legal environment. Interest in estate law (or experience) is an asset but not necessary. Key Responsibilities • Maintain, update, organize, and digitize corporate minute books • Prepare and file incorporations, amendments, amalgamations, continuances, and dissolutions. • Prepare standard documents, including corporate resolutions, dividends, share certificates, and director/officer updates. • Assist with corporate and tax reorganizations. • Assist with some administrative needs Qualifications • Completion of a recognized Law Clerk diploma/degree. • 1+ years relevant experience. Graduates who completed practice relevant co-ops welcome to apply. • In-depth knowledge of provincial and federal corporate statutes (e.g., OBCA, CBCA). • Proficiency with Minutebox, OBR, Corporations Canada and other corporate filing services. • Exceptional proofreading, organizational, and time-management skills. • Ability to handle sensitive and confidential information with absolute discretion.
