CDEV has five key pillars of expertise: Asset Monetization Managed Assets Capital & Funding Solutions Special Situations & Strategic Reviews Indigenous Economic Participation Position Overview CDEV is seeking a Corporate Law Clerk to join its dynamic and collegial legal team and assist with the continued growth of the organization. This role will provide support across corporate and transactional, corporate governance, and compliance matters for CDEV and several of its subsidiaries. This role combines traditional in-house law clerk responsibilities, such as drafting and reviewing contracts, corporate records maintenance, and assisting with transactions. In addition, the law clerk will assist with maintaining policies and procedures and contribute to best practices in corporate governance and compliance. This position is located in Toronto, currently with a hybrid work option. Key Responsibilities General Law Clerk Support Provide support to the legal team across a range of legal matters. Assist with the preparation, review, and organization of contracts. Support transaction execution by working closely with deal teams to review and organize documentation, coordinate meetings, track deliverables, and maintain closing records. Ensure accurate and accessible document management. Draft, review, track, and negotiate non-disclosure agreements (NDAs) and other agreements, including maintaining templates and monitoring execution status. Corporate Records Management Maintain corporate records and documentation to support governance and regulatory requirements. Ensure records are complete, up to date, and audit-ready in accordance with internal standards. Maintain and update corporate minute books, ensuring accuracy and completeness of records. Organization of Board and Committee materials, including uploading materials to Diligent and preparing meeting minutes Compliance Support & Tracking Develop and maintain compliance checklists and summaries to support legal and regulatory obligations. Create and maintain standardized compliance reports, including: Conflicts Management: Maintain records of disclosed conflicts and associated mitigation measures. Track and update a centralized conflicts database. Operational Policy Compliance: Track adherence to internal policies and support reporting on compliance matters. Monitor and follow up on completion of compliance-related tasks. Training & Policy Implementation: Work with legal team members to develop training materials, including presentations and guidance documents. Support onboarding and ongoing training initiatives for staff on legal and compliance matters. Track training completion. Key Skills and Attributes Diploma or certificate in a Law Clerk program or equivalent experience. 5+ years of relevant experience at a law firm or in-house. Experience supporting corporate, regulatory, transactional, or governance-related legal work is considered an asset. Strong organizational skills with the ability to manage multiple priorities and deadlines. Detail-oriented with a high level of accuracy in document and data management. Proactive approach to tracking tasks and coordinating with stakeholders. Collaborative working style with strong interpersonal skills, including the ability to maintain flexibility in approach to project execution. Strong written and verbal communication skills. Bilingualism in English and French is considered an asset. The Corporate Law Clerk will support CDEV on a broad range of legal matters across the organization and its subsidiaries. Experience in corporate, regulatory, transactional, or governance-related legal work is an asset; strong organization, accuracy, communication, and stakeholder coordination skills are also sought.
