The Transactions Clerk, EHG will join the Corporate Services team within Osler Works - Transactional to enhance our service delivery model for early and growth stage venture clients on their corporate transactions. Osler Works – Transactional leads the way in delivering corporate and commercial transaction solutions. By pairing the expertise of our specialized team of lawyers and business professionals with modernized processes and the best of legal technology, we deliver better outcomes, improved efficiencies and lower, predictable legal fees for our clients. This role will work alongside leading legal professionals in our Emerging and High Growth Companies Group at the firm. The successful candidate can be based out of Ottawa, Toronto, or even be fully remote within Ontario! This job posting is for an existing vacancy. Major Responsibilities Work with leading legal professionals in our Emerging and High Growth Companies Group on corporate transactions (including financings) for early and growth stage venture clients Assist in the formation, organization and reorganization of corporate entities and prepare related organizational documents based on venture-backed industry standards Review entity records and prepare minute book reviews for onboarding or transactional matters and prepare related remedial documents, where required Create and maintain capitalization tables through the use of legal entity management software Maintain SAFE, share, option, warrant and convertible debt registers Contribute to the continued design and improvement of our enhanced service delivery model for early and growth stage venture clients Update and maintain our legal entity management software and assist with other EHG transactional and administrative matters as required Position Requirements Education and Experience This position requires an undergraduate university degree and/or a college Law Clerk diploma with a minimum of 4 years of corporate transactional law clerk experience. An equivalent combination of education, training, and relevant experience may be considered. Knowledge and Skills Experience with legal entity management software Strong analytical, problem-solving, and organizational skills, with a high level of attention to detail Excellent time management skills with the ability to manage competing priorities and deadlines Ability to work independently and collaboratively in a team environment Strong proficiency with technology and the ability to quickly learn and adapt to new systems and processes Thorough knowledge of laws/legislation relevant to corporate practice such as Business Corporations Act (Ontario), Canada Business Corporations Act, Business Names Act, Corporations Information Act and Limited Partnerships Act, related legal terminology, forms and documents an asset Compensation The range of expected compensation for this position is $75,000 - $95,000 annually. Compensation offered will be based on a variety of factors including job-related knowledge, education, skills and experience.
