Key Responsibilities Prepare and file corporate documents, including incorporations, amendments, amalgamations, continuances, and dissolutions. Maintain Ontario and federal minute books and corporate records. Prepare annual and organizational resolutions. Conduct corporate searches, due diligence, and business name registrations. Assist with corporate transactions, reorganizations, financing, and closings. Liaise with clients, lawyers, government agencies, and other stakeholders. Manage multiple files while meeting deadlines and maintaining accuracy. Qualifications 10+ years of Corporate/Commercial Law Clerk experience in a law firm. Strong knowledge of the OBCA, CBCA, and corporate procedures. Excellent organizational, communication, and time-management skills. Ability to work independently and collaboratively. Strong attention to detail and commitment to client service.
