Senior Law Clerk – Corporate Governance Location: Toronto, ON – Hybrid, 3 days onsite Duration: October 26, 2026 – May 31, 2027, with potential extension/conversion Hours: Monday–Friday, 9:00 AM–5:00 PM; occasional overtime around deadlines Rate: $70–$92/hr INC Role Overview Seeking an experienced Senior Law Clerk to support an Enterprise Board Governance team with corporate governance, corporate secretarial, regulatory compliance and legal activities. The role will work closely with legal counsel and senior stakeholders within a large public-company environment. Key Responsibilities Support board and committee governance activities and meeting preparation. Conduct legal and corporate governance research. Prepare regulatory filings and required public-company disclosures. Maintain corporate governance records and documentation. Monitor and track corporate and regulatory compliance requirements. Support director compensation administration. Assist with shareholder services and related activities. Respond to audit and regulatory information requests. Prepare governance reports and materials. Support process improvements and special governance initiatives. Must-Have Qualifications 5+ years of law clerk, paralegal, lawyer or comparable legal experience. Approximately 5+ years supporting a public company environment. Strong experience with corporate governance, regulatory compliance and/or corporate secretarial activities. Registered Law Clerk (ILCO), licensed Paralegal (LSO) or Lawyer (LSO). Strong legal research and analytical skills. Excellent written and verbal communication skills. Strong judgment, organization and attention to detail. Nice-to-Have Financial services or banking experience. Securities law clerk experience. Public-company disclosure and regulatory filing experience. Experience with proxy materials, insider reporting and SEDI filings. Requirements
Requires at least five years of legal experience and approximately five years supporting a public-company environment, with strong corporate governance, regulatory compliance, or corporate secretarial experience. Candidates must be an ILCO Registered Law Clerk, an LSO-licensed Paralegal, or an LSO-licensed Lawyer, and demonstrate strong research, communication, judgment, organization, and attention to detail.
